Align Counsel Professional Corporation (“Align Counsel”, “we”, “us”, or “our”) operates the website at www.aligncounsel.ca, together with any related online forms and features (collectively, the “Site”). Align Counsel is a law firm licensed to practise law in the Province of Ontario. Please read these Terms of Use (the “Terms”) carefully before using the Site. By accessing or using the Site, you agree to be bound by these Terms. If you do not agree with them, please do not use the Site.
If you become a client of Align Counsel, the terms of that relationship will be set out in a separate engagement or retainer letter (an “Engagement Letter”). These Terms govern your access to and use of the Site; an Engagement Letter, if any, governs the lawyer-client relationship. If there is any conflict between these Terms and an Engagement Letter, the Engagement Letter governs.
We may update these Terms at any time, in our discretion. The current version will always be posted on this page, and the “Last updated” date above shows when it was last revised. By continuing to access or use the Site after we post changes, you accept the updated Terms.
You agree to use the Site only for lawful purposes and in accordance with these Terms. You agree that you will not:

We take on clients only through our own intake process, which includes checking for conflicts of interest, verifying identity, and entering into a signed Engagement Letter. We may offer an initial consultation, but a consultation does not create a lawyer-client relationship, does not obligate us to represent you, and we may decline to act for any person for any reason. Unless you are already a client of Align Counsel, any information you send us through the Site or by email, phone, or other means will not be treated as confidential or subject to solicitor-client privilege unless we have expressly agreed otherwise in writing. The Content may include descriptions of past matters or comments from clients. These are not promises or guarantees of any particular result. Every matter is different, and past results do not predict future outcomes.
The content on the Site, including text, graphics, logos, and images, is the property of Align Counsel or its licensors and is protected by copyright and other intellectual property laws. You may not reproduce, modify, distribute, display, or otherwise use any content from the Site without our prior written consent.

We are not responsible for the content, products, privacy practices, or policies of any third-party website, and providing a link does not mean we endorse it. Your use of any third-party website is subject to that site’s own terms and privacy policy, and is at your own risk.
Any personal information you provide through, or that we collect in connection with, the Site is handled in accordance with our Privacy Policy, which is available on the Site and forms part of these Terms. To the fullest extent permitted by law, Align Counsel and its lawyers, employees, agents, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including loss of profits, data, goodwill, or other intangible losses, arising out of or relating to your access to or use of (or inability to use) the Site or the Content, even if we have been advised of the possibility of such damages.
You agree to indemnify and hold harmless Align Counsel and its lawyers, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Site or the Content, or your breach of these Terms.
We may suspend or terminate your access to all or part of the Site at any time, without notice, if we believe you have breached these Terms or to protect the Site, our firm, or others. We may also cooperate with any law enforcement authority or court order that requests or requires disclosure of information about anyone using the Site.
These Terms, and any dispute arising out of or relating to them or the Site, are governed by the laws of the Province of Ontario and the federal laws of Canada that apply there, without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction of the courts of the Province of Ontario.
If any part of these Terms is found to be invalid or unenforceable, the rest will remain in effect. Our failure to enforce any provision is not a waiver of it. These Terms, together with our Privacy Policy and any Engagement Letter, are the entire agreement between you and Align Counsel regarding your use of the Site. If there is any conflict, an Engagement Letter governs the lawyer-client relationship.
